Terms of Use

1. Parties and Definitions
This agreement is between the Finly platform ("Platform") and the user registering on it ("User"). The Platform is a digital environment that brings aquarium hobbyists together, providing only technical infrastructure and intermediary services.
2. Platform Role and Disclaimer
Finly is a technology intermediary only. The Platform is not a party, guarantor, representative, or mediator of messages, content, trades, offers, or agreements between users. The Platform does not verify, approve, or guarantee the content, accuracy, reliability, or legality of such transactions.
3. Marketplace Transactions
All buying, selling, trading, and offers in the Marketplace are solely between users. Finly accepts no legal responsibility for product quality, delivery, payment, fraud, or contract breaches. Any disputes or losses between parties are entirely the users' responsibility. Users must verify the other party before transacting.
4. Messaging and Communication
All private messages, comments, and communications between users are entirely the users' responsibility. The Platform does not monitor or review communications and cannot be held liable for their content. Users who produce illegal, threatening, harassing, misleading, or harmful content are solely responsible under applicable law.
5. User Content and Licence
The user who uploads photos, videos, text, comments, and other content to the Platform is responsible for it and retains ownership of it. By posting, you grant Finly a non-exclusive, royalty-free, worldwide licence to host, store, display, and distribute that content solely for the purpose of operating and promoting the Platform. Finly does not pre-screen content before publication. Uploading content that infringes third-party copyright, trademarks, or intellectual property is prohibited; any legal claims arising from such violations will be directed solely to the relevant user.
6. Feedback and Suggestions
If you send Finly ideas, feature requests, or suggestions, you agree Finly may use and implement them freely, without payment, credit, or any obligation to you.
7. Prohibited Content and Conduct
The following are strictly prohibited: (a) Sale of illegal goods or services, (b) Posts that violate local laws regarding live animal trade, (c) Harassment, threats, or discrimination, (d) Attempts to damage platform infrastructure, (e) Spam, misinformation, or fake accounts, (f) Content harmful to minors. Finly may remove content or suspend/close accounts violating these rules at its sole discretion, without notice. Users granted a Moderator role may curate featured/giveaway posts and review reported content, but cannot access or modify other users' account data.
8. Health, Safety and Animal Care Disclaimer
Species care guides, water parameters, and advice shared on Finly (including by other users) are for general informational purposes only and are not professional veterinary, aquatic, or animal welfare advice. Finly is not responsible for the health or loss of any livestock, plants, or equipment resulting from advice found on the Platform. Always use your own judgement and consult a qualified professional for animal health concerns.
9. Third-Party Links
Finly may link to or reference third-party websites and pages (e.g. Wikipedia, partner social media pages). We do not control and are not responsible for the content, accuracy, or practices of any third-party site.
10. Copyright Complaints
If you believe content on Finly infringes your copyright or other intellectual property rights, notify us with (a) a description of the work, (b) the location of the infringing content, and (c) your contact details. We will review and may remove the content and/or suspend the account of repeat infringers.
11. Indemnification
You agree to indemnify and hold harmless Finly, its owner, and any moderators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of: your use of the Platform, your content, your transactions or communications with other users, or your breach of these terms.
12. Disclaimer of Warranties
The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Finly does not warrant that the Platform will be secure, uninterrupted, or error-free.
13. Service Continuity, Changes and Force Majeure
Finly does not guarantee uninterrupted or error-free operation, and may introduce, change, or discontinue features (including any paid features) at any time. Finly is not liable for any failure or delay caused by events beyond its reasonable control, including outages of third-party providers, internet infrastructure failures, or natural events.
14. Account Suspension and Termination
Finly may suspend or terminate your account at its sole discretion, with or without notice, for breach of these terms or conduct that risks harm to the Platform or other users. You may delete your own account at any time from Settings.
15. Age Requirement
You must be at least 13 years old to register and use the Platform. Accounts for persons under 13 are prohibited.
16. Limitation of Liability
To the maximum extent permitted by law, Finly is not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform or actions of other users. The Platform's total liability in all cases is limited to the amount paid by the user to the Platform (if any).
17. Intellectual Property of the Platform
The Finly name, logo, and platform software are the property of Finly and may not be copied, reproduced, or used without prior written permission. These terms grant you a limited, personal, non-transferable licence to use the Platform, not to copy or exploit it.
18. Electronic Communications
By creating an account, you consent to receive communications from Finly electronically (email and, if enabled, push notifications). These communications satisfy any legal requirement that such communications be in writing.
19. Governing Law and Disputes
This agreement is governed by the laws of New Zealand. Before starting court proceedings, both parties agree to first attempt to resolve any dispute informally by contacting Finly directly; eligible disputes may otherwise be brought before the New Zealand Disputes Tribunal or the courts of New Zealand, which have exclusive jurisdiction.
20. Changes to These Terms
Finly may update these terms from time to time; the "Last updated" date above will reflect the latest revision. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
21. General Provisions
If any provision of this agreement is found unenforceable, the remaining provisions stay in full effect. Finly's failure to enforce a provision is not a waiver of that provision. Finly may assign this agreement in connection with a merger, acquisition, or sale of assets. Sections that by their nature should survive termination (including Indemnification, Disclaimer of Warranties, and Limitation of Liability) remain in effect after your account is closed. This document, together with the Privacy Policy, is the entire agreement between you and Finly regarding use of the Platform.
22. Acceptance of Terms
By registering or continuing to use the Platform, you declare that you have read, understood, and accepted all of these terms.
